The working agreement.
Plain and direct.

The commercial terms that apply when a business buys website design, development, hosting or related services from Digital Triage.

1. The contract and parties

These terms constitute a legal agreement between you, the Client, and G&M Medical Supply Ltd trading as Digital Triage. Any reference to “we”, “us” or “our” means G&M Medical Supply Ltd.

By paying an upfront deposit or fee, paying your first monthly subscription invoice, or instructing us to begin work, you agree to be bound by these terms.

2. Contract start date and minimum terms

The legal contract between us begins when you pay your upfront deposit or fee, pay your first monthly subscription invoice, or otherwise instruct us to begin work.

For a Subscription Build or Standard Build, the 12-month minimum term ordinarily begins on the date your website goes live. If launch is delayed by more than 30 days because we are waiting for you to provide necessary text, images, approvals or feedback, the 12-month billing cycle and minimum term may begin once that 30-day period has expired. We will notify you before billing begins.

3. Business-to-business services

Digital Triage provides services exclusively to businesses. All agreements are business-to-business contracts. Consumer cancellation rights and cooling-off periods do not apply.

4. Packages and payment structures

We offer three standard website-build packages:

The Subscription Build

There is no upfront build fee. You pay a set monthly fee based on the size of your website. This covers design, development, hosting and the monthly edit allowance stated below.

The Standard Build

You pay a 100% non-refundable upfront fee covering the intensive design and development phase, followed by a smaller monthly hosting fee to keep the website live.

The Complete Handover

You pay a larger, 100% non-refundable upfront fee. We build the website and package the files for you. There are no ongoing monthly fees or included edits, and you are responsible for arranging and managing your own hosting.

Package-specific pricing, scope and payment dates will be confirmed in your proposal, order or invoice.

5. Minimum terms and cancellations

If you choose a Subscription Build or Standard Build, you enter into a 12-month minimum contract.

To cancel during the first 12 months, you must provide 30 days’ written notice by email. You must pay the remaining balance due for the minimum term together with a £200 early-cancellation fee. If amounts due remain unpaid, we may take your website offline.

After the 12-month minimum term ends, the agreement continues as a rolling monthly contract. To cancel a rolling contract, you must provide 60 days’ written notice by email. This notice period allows us to settle the account and securely package your website files for transfer where ownership has passed to you.

6. Monthly edits and additional work

Hosted packages include time for routine monthly edits, such as text updates, image swaps or product additions:

  • Subscription Builds: two hours per month.
  • Standard Builds: one hour per month.
  • Complete Handovers: no included edit time.

Unused edit time does not roll over. Work beyond the monthly allowance, and complex or structural changes outside the agreed project scope, are charged at £65 per hour in minimum increments of 30 minutes. We will identify chargeable work before carrying it out.

7. Late payments

Invoices must be paid by their stated due date. If a subscription payment fails or an invoice becomes overdue, we may suspend the website until the outstanding balance is cleared.

For overdue business payments, we reserve the right to charge statutory interest at 8% above the Bank of England base rate and claim the applicable fixed debt-recovery compensation, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

8. Intellectual property and ownership

Your content

You retain ownership of text, logos and images you provide to us. You are responsible for ensuring that you have the right to use that material.

The website

For Complete Handover packages, ownership of the completed website codebase and design transfers to you once all agreed fees have been paid in full.

For Subscription Builds and Standard Builds, Digital Triage retains ownership of the website design and code until the 12-month minimum term has been completed and all amounts due have been paid in full. Ownership then transfers to you, subject to any third-party licences that apply.

9. Client responsibilities

You are responsible for providing the text, images, access, approvals and feedback reasonably required to complete the project in a timely manner. You must also ensure that material you supply is lawful and complies with our Acceptable Use Policy.

If a project is delayed for more than 30 days because required content, access, approval or feedback has not been provided, we may invoice for work completed to date where it has not already been paid for. For Subscription Builds, we may begin the monthly billing cycle and minimum term as described in section 2.

10. Additional services and out-of-hours support

Scope changes and custom development

If you request features, integrations or complex structural changes outside the originally agreed project brief, we will notify you before beginning the work. Additional development is charged at our standard rate of £65 per hour.

Emergency support

Our standard operating hours are Monday to Friday during normal business hours. If you or someone acting on your behalf damages the website and asks us to provide emergency support outside those hours, that work is not covered by your monthly edit allowance.

Where we agree to provide out-of-hours emergency support, it is charged at £100 per hour with a minimum charge of one hour. Out-of-hours availability is not guaranteed unless separately agreed.

Third-party software and licences

Our package and hourly prices cover our work and the standard hosting infrastructure described in your agreement. If your request requires premium plugins, paid fonts, specialist stock imagery, additional external API capacity or another paid third-party product, we will quote those costs separately and obtain your approval before purchasing them. Approved third-party costs will be invoiced to you separately.

Domain-name management

If we purchase or register a domain name on your behalf, we do so to help the project launch smoothly. You remain responsible for its annual renewal fees unless renewal is expressly included in a custom subscription package.

If you do not pay a domain-renewal invoice by its due date, the domain may expire, the website and email services using it may stop working, and the domain could become available for registration by someone else.

11. Contact and notices

Cancellation notices and questions about these terms must be sent by email to Matt@digitaltriagehq.co.uk. A cancellation notice takes effect when it is received.
